Service scope, deliverables, timelines, milestones, and pricing are defined in project-specific proposals, statements of work, or written agreements (collectively, "Project Agreements"). In case of conflict, the Project Agreement prevails over these Terms.

Intellectual Property

Website and Brand Assets

All content on this website, including text, graphics, logos, trademarks, visual design, source code, and documentation, is owned by AlgoDevOpss or licensed to us, unless otherwise stated. You may not copy, distribute, modify, reverse-engineer, or create derivative works without prior written consent.

Project Deliverables

Ownership and usage rights for project deliverables are defined in the applicable Project Agreement. Unless expressly transferred in writing, pre-existing tools, frameworks, templates, and know-how remain the property of AlgoDevOpss.

Client Responsibilities

• Provide complete, accurate, and lawful project requirements, content, assets, and approvals in a timely manner
• Appoint authorized decision-makers to review milestones and provide clear feedback
• Ensure all client-provided data, code, and media do not violate third-party rights or applicable laws
• Maintain secure access credentials for platforms and services under client control

Payment Terms

• Fees, invoicing schedules, and due dates are defined in the applicable Project Agreement
• Unless otherwise agreed, invoices are payable within the stated payment period from issuance date
• Delayed payments may result in paused work, delayed delivery, and additional administrative or late charges as permitted by law
• AlgoDevOpss reserves the right to suspend or terminate services for material non-payment after reasonable notice

Confidentiality

Each party agrees to protect confidential information shared during the course of a project and to use such information only for authorized business purposes. Confidential obligations do not apply to information that is publicly available, independently developed, or lawfully obtained from another source.

Warranties and Disclaimers

We perform services with reasonable skill and care consistent with industry standards. Except as expressly stated in a Project Agreement, website content and services are provided on an "as is" and "as available" basis without implied warranties, including merchantability and fitness for a particular purpose.

Limitation of Liability

To the maximum extent permitted by law, AlgoDevOpss shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, business interruption, or data loss, arising from or related to use of our website or services.

Where liability cannot be excluded, our aggregate liability shall be limited to the amount actually paid to AlgoDevOpss for the specific services giving rise to the claim during the preceding six (6) months, unless otherwise specified by applicable law.

Indemnification

You agree to indemnify and hold harmless AlgoDevOpss, its team, affiliates, and partners from claims, liabilities, losses, and expenses (including reasonable legal fees) arising out of your misuse of the website, violation of these Terms, or infringement of third-party rights.

Suspension and Termination

We may suspend or terminate access to the website or services for breach of these Terms, legal compliance requirements, security events, or non-payment under a Project Agreement. Provisions that by nature should survive termination (including confidentiality, intellectual property, payment obligations, liability limits, and dispute-related provisions) will remain in effect.

Governing Law and Dispute Resolution

These Terms are governed by the applicable laws of the jurisdiction in which AlgoDevOpss operates, without regard to conflict of law principles. Parties agree to first attempt good-faith resolution of any dispute through written notice and negotiation before pursuing formal legal remedies.

Changes to Terms

We may revise these Terms periodically to reflect legal, operational, or service changes. Updated Terms become effective when posted to this page with a revised "Last Updated" date. Continued use of our website or services after such updates constitutes acceptance.
